Program Overview: Despite the credit crunch and declining market conditions, many who have pursued merging with, acquiring or selling a company have found that opportunities still exist. In order to successfully navigate an M&A transaction in this challenging economic environment, it is critical that buyers and sellers have the insight to optimize results and be adequately prepared to address questions and issues throughout the transaction. Benefits of Attending: * How companies are obtaining financing in a difficult market; * How the economic downturn is creating both opportunities and problems for M&A deals; * How to properly conduct due diligence from a buyers and sellers perspective; * Current landscape of the M&A market (valuations, financing alternatives and deal trends); * How making operational, financial and legal decisions can help your company maintain its value and remain an attractive partner through the sale process; * How to plan and implement a successful post-acquisition integration strategy. Who should attend: Anyone on both the buy and sell side who is preparing to engage in a potential merger or acquisition or who wants to have a clear merger or acquisition strategy in place. About the Presenters: Joe Davidson and Clark Libenson, corporate attorneys in the Del Mar Heights office of Allen Matkins Leck Gamble Mallory & Natsis LLP, have assisted a broad range of companies completing more than 50 M&A transactions over the last five years. Dana Basney, is a shareholder in the Certified Public Accounting Firm of Mayer Hoffman McCann P.C., and is a Director of CBIZ Accounting, Tax & Advisory Services in San Diego. He is the Director in charge of the San Diego officeâs due diligence, litigation and insolvency services and is often called upon to assist clients in acquisitions and mergers. He has practiced public accounting since 1973 and has extensive experience in the tax, audit and consulting areas servicing a large number of clients in virtually every field of enterprise. He has performed services for both publicly held and closely held entities. He has represented numerous taxpayers before federal, state and local taxing authorities in cases involving complex legal and valuation issues. Kathleen D. Scott, is a principal of RA Capital Advisors. She joined The Relational Group companies, which were a predecessor to RA Capital Group, in 1994 as a senior associate. Ms. Scott was a managing director of Relational Advisors prior to becoming a principal of RA Capital Group. She has assumed broad responsibility for mergers, acquisitions, divestitures, financings and restructurings on behalf of a large number of clients. She also has supervised work on a number of contests for corporate control. Ms. Scotts work has focused on a number of industries, among them packaging/logistics, aerospace and defense, technology, retail, software, energy, healthcare, and biotechnology.
